Introduction

Welcome to Quantabit (“Company”, “we”, “our”, “us”)!

These Terms of Service (“Terms”, “Terms of Service”) govern your use of our website located at Quantabit.com.au (together or individually “Service”) operated by Quantabit .

Our Privacy Policy also regulates your use of our Service and explains how we collect, store, and share information collected through our web pages.

These Terms and our Privacy Policy (“Agreements”) are part of your relationship with us. You acknowledge that you have read and comprehended the Agreements and that you agree to abide by them.

If you disagree with (or are unable to comply with) the Agreements, you may not use the Service; nevertheless, please notify us by emailing [email protected] so that we can work out a solution. All visitors, users, and others who seek to access or use the Service are bound by these Terms.

Communications

You agree to receive newsletters, marketing or promotional materials, and other information from us if you use our Service. You may, however, unsubscribe from any or all of these emails by clicking the unsubscribe link or sending an email to [email protected]

Purchases

You may be asked to provide certain information relevant to your Purchase if you wish to purchase any product or service made available through Service (“Purchase”), including but not limited to your credit or debit card number, the expiration date of your card, your billing address, and your shipping information.

You represent and warrant that you: you have the legal right to use any card(s) or other payment method(s) in connection with any Purchase; and (ii) the information you provide to us is true, correct, and complete.

For the purpose of enabling payment and the completion of Purchases, we may use third-party services. By entering your information, you allow us permission to share it with these third parties in accordance with our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for a variety of reasons, including product or service availability, mistakes in the product or service description or price, an error in your order, or other factors.

If we suspect fraud or an unauthorized or unlawful transaction, we retain the right to refuse or cancel your order.

Contests, Sweepstakes and Promotions

Contests, sweepstakes, and other promotions (collectively, “Promotions”) offered through the Service may be governed by rules separate from these Terms of Service. Please read the applicable regulations as well as our Privacy Policy before participating in any Promotions. If a Promotion’s terms conflict with these Terms of Service, the Promotion rules will take precedence.

Subscriptions

Subscriptions are required for some aspects of the Service (“Subscription(s)”). On a recurrent and periodic basis, you will be billed in advance (“Billing Cycle”). When you purchase a Subscription, the billing cycle will be determined by the sort of subscription plan you choose.

Unless you cancel it or Quantabit Infosys cancels it, your Subscription will automatically renew at the end of each Billing Cycle under the exact same circumstances unless you cancel it or Quantabit Infosys cancels it. You can cancel your Subscription renewal through your online account management page or by emailing the customer service staff at [email protected].

To process your subscription payment, you’ll need a valid payment method. You must supply Quantabit Infosys with correct and complete billing information, such as your full name, address, state, postal or zip code, phone number, and a valid payment method. You automatically authorize Quantabit Infosys to bill all Subscription fees incurred through your account to any such payment instruments by submitting such payment information.

If automatic billing does not occur for any reason, Quantabit retains the right to immediately discontinue your access to the Service.

Free Trial

Quantabit may, in its sole discretion, provide a Subscription with a limited-time free trial (“Free Trial”). In order to sign up for a Free Trial, you may be asked to provide your billing information.

If you input your billing information when signing up for the Free Trial, Quantabit will not charge you until the Free Trial has ended. Unless you cancel your Subscription before the end of the Free Trial period, you will be charged the applicable Subscription fees for the kind of Subscription you have selected on the last day of the Free Trial term.

Quantabit retains the right to I change the Terms of Service of the Free Trial offer, or (ii) cancel the Free Trial offer, at any time and without notice.

Fee Changes

Quantabit reserves the right to change the Subscription fees at any moment and in its sole discretion. Any changes to Subscription fees will take effect at the end of the current Billing Cycle.

Any change in Subscription rates will be communicated to you with adequate advance notice to allow you to cancel your Subscription before the change takes effect.

You agree to pay the adjusted Subscription fee amount if you continue to use the Service after the Subscription fee change takes effect.

Content

Our Service enables you to publish, link to, store, share, and otherwise make information, text, images, videos, and other content (“Content”). You are solely responsible for the legality, reliability, and appropriateness of any Content you submit on or through the Service.

By posting Content on or through the Service, you represent and warrant that: I the Content is yours (you own it) and/or you have the right to use it and grant us the rights and licenses set forth in these Terms, and (ii) the posting of your Content on or through the Service does not infringe on any person’s or entity’s privacy, publicity, copyrights, contract rights, or other rights; and (iii) the posting of your Content on or through the Service Anyone found to be infringing on a copyright will have their account terminated.

You retain all rights to any and all Content you submit, post, or display on or through the Service, and you are responsible for ensuring that such rights are protected. We take no responsibility for any Content you or any third-party uploads on or through the Service, and we disclaim any and all liability in connection with it. By posting Content on or through the Service, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute that Content. You acknowledge and agree that this license includes the right for us to make your Content available to other users of the Service, who may use it in accordance with these Terms.

Quantabit reserves the right, but not the duty, to monitor and modify all User-Generated Content.

Furthermore, any content available on or via this Service is either owned by Quantabit or utilized with permission. Without our express prior written consent, you may not distribute, edit, transmit, reuse, download, repost, copy, or use said Content, in whole or in part, for commercial or personal advantage.

Prohibited Uses

You may only use the Service for legal reasons and in compliance with the Terms. You agree not to use the Service in the following ways:

10.1. Violate any relevant national or international law or regulation in any way.

10.2. For the intention of exploiting, hurting, or trying to exploit or harm children in any way, including by the exposure of them to unsuitable content.

10.3. To send or cause to be sent any commercial or promotional material, including “junk mail,” “chain letters,” “spam,” or any other similar solicitation.

10.4. To impersonate Company, a Company employee, another user, or any other person or entity, or to attempt to impersonate them.

10.5. Infringes on the rights of others, or is illegal, threatening, fraudulent, or hurtful in any way, or is connected with any unlawful, illegal, fraudulent, or harmful intent or action.

10.6. Engage in any other behavior that restricts or inhibits anyone’s use or enjoyment of the Service, or that, in our opinion, may hurt or offend Company or Service users, or subject them to liability.

Furthermore, you agree not to:

10.1.1 Use Service in any way that might disable, overburden, damage, or impair Service, or interfere with the capacity of any other party to engage in real-time activities through Service.

10.1.2 Use any robot, spider, or other automated device, method, or means to access Service for any purpose, including monitoring or duplicating any of the Service’s content.

10.1.3 Without our prior written authorization, use any manual procedure to monitor or copy any of the material on the Service or for any other unlawful purpose.

10.1.4 Interfere with the correct operation of Service with any device, program, or procedure.

10.1.5 Inject any malicious or technologically destructive content, such as viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material.

10.1.6 Attempt to gain unauthorized access to, interfere with, damage, or disrupt any portion of the Service, the server on which the Service is kept, or any server, computer, or database linked to Service in any way.

10.1.7 Launch a denial-of-service or distributed denial-of-service attack against Service.

10.1.8 Take any action that might jeopardize or degrade the Company’s rating.

10.1.9 Attempt to obstruct the correct operation of Service in any other way.

No Use by Minors

Individuals above the age of eighteen (18) are only permitted to access and use the service. You warrant and represent that you are at least eighteen (18) years old and have the complete power, right, and ability to enter into this agreement and abide by all of the terms and conditions of Terms by accessing or using the Service. You are not permitted to access or use the Service unless you are at least eighteen (18) years old.

Accounts

When you establish an account with us, you confirm that you are at least 18 years old and that the information you supply is accurate, full, and up to date at all times. Your account on Service may be immediately terminated if you provide inaccurate, incomplete, or obsolete information.

You are responsible for keeping your account and password secret, including but not limited to limiting access to your computer and/or account. Whether your password is with our Provider or a third-party service, you agree to take responsibility for any and all activities or acts that occur under your account and/or password. If you become aware of a security breach or unauthorized use of your account, you must contact us immediately.

Without prior authority, you may not use as a username the name of another person or entity, a name or trademark that is subject to the rights of any person or entity other than you, or a name or trademark that is not lawfully accessible for use. Any name that is rude, vulgar, or indecent may not be used as a username.

In our sole discretion, we have the right to reject service, terminate accounts, remove or edit content, or cancel orders.

Intellectual Property

Quantabit and its licensors own and control the service, as well as its original content (excluding Content submitted by users), features, and functionality. Copyright, trademark, and other laws in the United States and other countries protect the service. Without Quantabit’s prior written approval, our trademarks may not be utilized in conjunction with any product or service.

Error Reporting and Feedback

You may provide us information and feedback about mistakes, suggestions for improvements, ideas, issues, complaints, and other topics relating to our Service (“Feedback”) either directly at [email protected] or via third-party sites and tools (“Feedback”). You acknowledge and agree that: I you will not retain, acquire, or assert any intellectual property right or other right, title, or interest in or to the Feedback; (ii) the Company may have development ideas that are similar to the Feedback; and (iii) the Feedback will not contain any confidential information. (iv) Company is not obligated to keep secret any information or proprietary information from you or any third party; and (v) Company is not obligated to keep the Feedback confidential. These services are provided “as is” and “as available” by the company. Company makes no explicit or implied representations or guarantees about the functioning of its services, or the information, content, or materials contained within. You explicitly acknowledge and agree that your use of our services, its content, and any services or things received through us is at your own risk.

No guarantee or representation is made by the company or anyone affiliated with the company as to the completeness, security, reliability, quality, correctness, or availability of the services. Without limiting the foregoing, neither company nor anyone associated with it represents or warrants that the services, their content, or any services or items obtained through the services will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the services or the server that makes it available will be free of viruses or other harmful components, or that the services or any services or items obtained through the services will meet any other requirements.

Company expressly disclaims any and all warranties, explicit or implied, statutory or otherwise, including but not limited to warranties of merchantability, non-infringement, and fitness for a specific purpose.

Any guarantees that cannot be excluded or restricted under relevant law are unaffected by the foregoing.

Limitation of liability

Except where prohibited by law, you agree to hold us and our officers, directors, employees, and agents harmless for any indirect, punitive, special, incidental, or consequential damage, regardless of how it occurs (including attorneys’ fees and all related costs and expenses of litigation and arbitration, or at trial or on appeal, if any, whether or not litigation or arbitration is instituted), whether in a contract, negligence, or other tortious action, or arising out of or in connection with any of our products, even if company has been previously advised of the possibility of such damage. If the corporation is found to be liable, it will be restricted to the amount paid for the products and/or services, and no consequential or punitive damages would be awarded, unless otherwise forbidden by law. Termination

We may, in our sole discretion, cancel or suspend your account and deny you access to the Service without prior notice or liability, for any cause and without restriction, including but not limited to a breach of the Terms.

You can simply stop using the Service if you want to close your account. All provisions of the Terms that, by their nature, should survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnification, and liability limits, shall survive termination.

Governing Law

These Terms are regulated by and construed in accordance with Bangladeshi law, which governs the agreement without regard to its conflict of law rules.

Our failure to enforce any of these Terms’ rights or provisions will not be construed as a waiver of such rights. If a court rules that any term of these Terms is unlawful or unenforceable, the other provisions will continue in effect. These Terms comprise the complete agreement between us regarding our Service, and they supersede and replace any earlier agreements we may have had.

Changes to Service

We retain the right, at our sole discretion, to discontinue or alter our Service, as well as any service or content we provide via it, without notice. We shall not be responsible if all or part of the Service is unavailable at any time or for any period due to any reason. We may restrict access to any parts of the Service, or the entire Service, to users, including registered users, from time to time.

Amendments to Terms

We reserve the right to change the Terms at any moment by posting the new terms on this website. It is your duty to check these Terms on a regular basis.

You acknowledge and consent to the modifications if you continue to use the Platform after the updated Terms are posted. You must visit this page regularly to be informed of any changes, since they are legally binding on you.

If any section of the Terms is found to be unlawful, illegal, or unenforceable by a court or other tribunal of competent jurisdiction for any reason, that provision will be removed or restricted to the bare minimum, leaving the remaining provisions of the Terms in full force and effect.
